1. Acceptance of terms

These Terms of Service ("Terms") form a binding agreement between you and Aura Inc., doing business as Hire Aura, and its developer Northly AI (collectively, "Hire Aura," "Aura Inc.," "Northly AI," "we," "us," or "our"). By accessing or using the Hire Aura website, mobile application, or any related service (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

2. Description of service

Hire Aura provides flight comparison and decision-support tools, including a proprietary "Trip Value Score" derived from publicly available and licensed third-party data such as pricing, layover information, historical delay statistics, and travel-time estimates. The Service is provided for informational purposes only and does not constitute travel booking, travel agency services, or professional travel advice.

We do not guarantee the accuracy, completeness, or timeliness of any flight, pricing, delay-risk, or scheduling information displayed within the Service. Airline schedules, prices, and availability change frequently and are outside of our control.

3. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

4. User accounts

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information when creating an account and to keep it up to date.
• You must notify us promptly of any unauthorized use of your account or any other breach of security.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
• Scrape, crawl, or use automated means to extract data from the Service without our prior written consent.
• Reverse engineer, decompile, or attempt to derive the source code or underlying algorithms of the Service, including the Trip Value Score methodology.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service to transmit any malicious code, spam, or unsolicited communications.
• Resell, sublicense, or commercially exploit the Service without our prior written consent.

6. Subscriptions & payment

Certain features of the Service require a paid subscription ("Premium" or "Enterprise" plans). By subscribing, you agree to pay all applicable fees as described at the time of purchase. Unless otherwise stated:

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Fees are non-refundable except where required by applicable law.
• We may change subscription pricing with reasonable advance notice; continued use after a price change constitutes acceptance of the new pricing.
• Payment processing is handled by third-party payment processors, and your use of those services is subject to their own terms.

7. Third-party content & links

The Service may display or link to third-party content, data, websites, or services, including airline booking pages, that we do not own or control. We are not responsible for the accuracy, legality, or content of any third-party material, and your interactions with third parties (including any bookings or purchases) are solely between you and that third party.

8. Intellectual property

The Service, including its software, design, text, graphics, logos, and the Trip Value Score methodology, is owned by Aura Inc. and Northly AI or their licensors and is protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Disclaimers of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Hire Aura, Aura Inc., and Northly AI do not warrant that the Service will be uninterrupted, error-free, or secure, that any Trip Value Score or other output will be accurate or suitable for your particular travel needs, or that any defects will be corrected.

You acknowledge that any reliance on flight recommendations, delay-risk estimates, or other information provided through the Service is at your own risk, and that final travel decisions and bookings remain your sole responsibility.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HIRE AURA, AURA INC., NORTHLY AI, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, INCLUDING ANY MISSED FLIGHT, TRAVEL DISRUPTION, BOOKING ERROR, OR FINANCIAL LOSS RESULTING FROM RELIANCE ON A TRIP VALUE SCORE OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF HIRE AURA, AURA INC., AND NORTHLY AI FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hire Aura, Aura Inc., Northly AI, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) any travel booking, decision, or action you take based on information provided through the Service; or (d) your violation of any third-party right, including intellectual property or privacy rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and, where applicable, cancel your subscription at any time. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

13. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

14. Changes to these terms

We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
